Sale of a non-performing loan portfolio of HETA ASSET RESOLUTION in Croatia

HETA ASSET RESOLUTION AG in Klagenfurt/Austria (“HETA” or “Seller”), c/o Zolfo Cooper Capital Management UK LLP (“ZCCM”)

HETA intends to sell a non-performing loan portfolio of a defined Group of Borrowers in an open, transparent, and non-discriminatory sales process (“Sales Process”). The portfolio comprises twelve (12) secured loans towards eight (8) associated limited liability companies formed under Croatian law with a total exposure of approximately EUR 155 Mio including the legal rights and obligations from a framework agreement in which the purchase of shopping centres by HETA is agreed (the loans together with the rights and obligations of the framework agreement are the “Object of Sale”).The loans are secured by 2 land plots (ca 56.000 m² abd and 3 Croatian Shopping Centres which are: Shopping Centre Dubrava/Garden Mall in Zagreb (ca. 26.000 m²), Shopping Centre Sisak (ca. 5.000 m²) and Shopping Centre Koprivnica (ca 21.000 m²). The Group of Borrowers has consented to the conduct of the Sales Process and agreed to cooperate appropriately.

ZCCM acts as the exclusive sales advisor to the Seller in the Sales Process. Expressions of Interest for the participation in the Sales Process must be submitted in writing to the contact person below by 5th April 2016, 16:00 (CET).

Expressions of Interest must be submitted for the whole portfolio (Object of Sale) in English and in writing. They must comprise the interested party’s name, address, a company description, the name of the responsible persons to be contacted with questions as well as the name of any mandated advisors. Expressions of Interest on behalf of a third party (including agents and advisors) will be considered only if a proper power of representation in writing is submitted.

After receipt of written Expressions of Interest from investors who can reasonably provide a proof of financial resources upon request, they will be invited to take part in the further process and will receive detailed information regarding the Object of Sale and the Sales Process subject to the execution of a customary confidentiality agreement.

The Seller reserve the right to extend the deadline for submission of the Expressions of Interest, or to modify other deadlines of the Sales Process and/or to discontinue the Sales Process in whole or in part or to adjust the transaction structure at any time, subject to compliance with the principles of an open, transparent and non-discriminatory sales process.
